1. Pre-Launch Status

The California Stock Exchange (“CAX”) is a pre-operational project. As of the date above, CAX is not a registered national securities exchange, alternative trading system (ATS), broker-dealer, transfer agent, clearing agency, or self-regulatory organization. CAX has not received approval from the U.S. Securities and Exchange Commission (SEC), the Financial Industry Regulatory Authority (FINRA), the California Department of Financial Protection and Innovation (DFPI), or any other regulator to operate a securities market.

Operational launch is targeted for January 2027 and is expressly conditioned on receipt of all necessary regulatory approvals and on the policy environment described in Section 3.

2. No Offer of Securities

Nothing on this website constitutes an offer to sell, or a solicitation of an offer to buy, any security, token, membership interest, or other financial instrument. No listing, trading, or investment services are being offered through this site. Any future securities-related activity will only be conducted through the appropriate registered entities, in accordance with applicable federal and state securities laws, and under disclosure documents that comply with those laws.

Submitting the Register Interest form does not create any contractual, brokerage, advisory, or investor relationship, and does not entitle the submitter to any equity, token, allocation, listing slot, or preferential access.

3. Execution Premise and Forward-Looking Statements

CAX has publicly stated that the project’s execution premise assumes a California policy environment led by Governor Steve Hilton beginning January 2027. This is an independent position taken by CAX based on aligned values regarding economic growth, capital formation, and regulatory modernization. CAX is not affiliated with, endorsed by, or acting on behalf of any political campaign, candidate, committee, or party. No portion of any funds received by CAX will be used for political contributions or campaign activity.

Any securities activities requiring registration will only be conducted through, and under the supervision of, an appropriately registered broker-dealer once CAX’s operational entities are established.

The 3.8x state economic multiplier and its sub-components (capital velocity, knowledge-intensive employment, and preserved high-potential assets) presented on the site are illustrative projections based on the founder’s analysis of comparable exchange ecosystems. They are not guarantees of outcomes and should not be relied upon for investment, policy, or planning decisions.

8. Anti-Fraud Notice

CAX will never request payment, wire transfers, cryptocurrency transfers, private keys, or account credentials as a condition of registering interest or receiving future updates. Any communication claiming to offer pre-listing allocations, token sales, guaranteed IPO slots, or paid “early access” in the name of CAX should be treated as fraudulent and reported to compliance@castockexchange.com.
